Description and Requirements

The Chief Legal Officer & General Counsel’s role at the Company is dynamic and multi-faceted. He/she will serve as a highly capable and trusted advisor and partner to the Chief Executive Officer and the Boards of Directors and Committees of the various entities that are part of the Company and provide legal advice and counsel to the Company’s senior management as well as various other constituencies. A major accountability of the position is to ensure the competent and timely provision of legal services across a broad range of activity, including provider contracting, vendor contracting, interpreting and advising on legal, regulatory and government contract requirements, including implementation of changes and new requirements, interactions with regulators, product development, human resources, information technology, sales, marketing, insurance, acquisitions, joint ventures, litigation, general corporate and preventive law initiatives. The Chief Legal Officer & General Counsel will participate in the formulation of general management policy and will also oversee Privacy, Government Relations, and the Special Investigations Unit.
More specifically, the General Counsel will be expected to: Manage a staff of approximately 50 individuals, including attorneys, paralegals, and non-legal staff. Assist his/her clients with resolving issues in a manner consistent with the company’s business philosophy, ethics, strategy, and best interests, and in compliance with legal and regulatory requirements. Provide legal advice and counsel, as well as negotiating and executional support, in connection with any acquisition or other commercial transaction. Provide legal advice and risk assessment to the Boards of Directors and committees thereof. Provide timely and accurate interpretation of the various laws and regulations affecting the company’s business to management and operating personnel. Develop and maintain relationships with and interact effectively with regulators that are responsible for monitoring the Company’s business. Monitor and keep management and operating personnel abreast of the existence and impact of judicial and regulatory developments affecting legal exposures and compliance obligations of the Company. Ensure that contracts to which the company is a party are expertly negotiated and drafted, and properly reflect the Company’s interests and objectives. Assist the Company in assessing the impact of new/pending legislation, regulations or other requirements and implementing any business or operational changes required in connection therewith. Manage the provision of legal services by in-house and outside counsel in the most cost-effective manner. Provide ongoing strategic planning, guidance, and consultation in connection with company initiatives. Provide training to the company’s executives and personnel in areas of significant legal risk. Protect and defend the company’s interests in any litigation, mediation, arbitration, or other dispute. PROFESSIONAL EXPERIENCE/QUALIFICATIONS Prospective candidates will possess a proven record of professional excellence and achievement with [substantial] [at least 15] years of legal experience. The successful candidate may be a highly accomplished general counsel or an exceptional attorney in private practice. Successful candidates must be highly adaptable. Applicants from a law firm background must be capable of seamlessly making the transition to an in-house practice. Experience working both in private practice and in-house would be ideal. Experience in the health insurance or managed care industry is required, and experience in the New York market is preferred but not required. The new General Counsel will be well respected for his/her legal excellence, intelligence, business judgment and wisdom. Highly motivated and a self-starter by nature, this person will have the ability to add significant value to the business without much of a learning curve. While confident and appropriately assertive, the final candidate will possess excellent interpersonal and communication skills. The General Counsel will be a hands-on, results-driven legal advisor with excellent skills in contractual, commercial, and transactional areas. He/she will have a highly developed emotional intelligence exemplified by strong informal leadership skills. Further, this individual will be a consummate team player who is collaborative by nature, and capable of connecting with and influencing peers and other business leaders. This individual also should have strong people development skills and will be capable of serving as an effective mentor to the legal and other staff. The General Counsel will be a proactive problem solver with the exceptional critical thinking skills required to devise pragmatic business solutions to new and complex business problems. He/she will be comfortable serving as a sounding board to the staff and will encourage critical thinking on their part. This executive will possess strong business acumen and will be able to be strategic as well as analytical in his/her approach to issues and opportunities, appropriately balancing an attention to detail with an appreciation of the “big picture.” The final candidate will be a quick study with the ability to synthesize complex issues clearly and provide solutions in a direct, no-nonsense manner. With a businessperson’s mindset, the final candidate will have the ability to make things happen and to find thoughtful solutions where none initially appeared to exist. This individual will be comfortable providing frank and candid advice and will know when to say “yes” and “no” (judiciously). He/she will be quick to point out challenges in any plan of action and devise constructive alternatives. The General Counsel, through functional expertise, seasoned experience, and personal style, will have the ability to engender respect, confidence, and trust both within and outside of the organization. In particular, the General Counsel will be expected to develop and nurture an effective rapport with his/her team, senior management, the Board, and personnel at every level of the company. Persuasive and engaging, he/she will be an accomplished, effective counselor whom others will seek out for advice. Most importantly, this General Counsel will possess a high degree of personal and professional integrity with unquestioned ethical and moral standards. EDUCATION An undergraduate degree and J.D. from a well-respected, accredited institution, as well as admission in good standing to the New York State Bar is required.
